The Owner-Operator acknowledges that they are an independent contractor, not an employee of the Company. Nothing in this agreement creates an employer–employee relationship, partnership, or joint venture.
Services provided to Owner-Operators may include, but are not limited to:

Owner-Operator agrees to pay all applicable service fees, including:
Payments must be made in accordance with invoicing terms. Late or non-payment may result in suspension or termination of services.
To operate under the Company’s MC, the Owner-Operator must provide:
The Company may terminate lease-on privileges at its discretion for violations, safety concerns, or non-payment.
Owner-Operator is solely responsible for:
Failure to comply may result in immediate termination.
Owner-Operator authorizes the Company to:
Owner-Operator must provide accurate updates on location, delays, and delivery status.
Owner-Operator is responsible for maintaining required coverage including, but not limited to:
The Company is not liable for mechanical breakdowns, accidents, cargo damage caused by the Owner-Operator, or any losses arising from operational decisions.
Either party may terminate services with written notice. The Company may terminate immediately for:
Outstanding invoices remain due after termination.
The Company agrees to transport freight for the Client/Shipper under these terms. Shipment acceptance depends on availability, route, capacity, compliance, and safety conditions.
Rates are based on the rate confirmation or written agreement. Payment terms are typically Net 30 unless otherwise stated.
Shipper agrees to pay:
Unpaid invoices may result in collection actions and additional fees.
The Company will exercise reasonable care in transporting freight. However, the Company is not responsible for:
Shipper must accurately declare freight type, weight, and requirements.
Cargo liability is limited in accordance with standard industry regulations unless otherwise agreed in writing.

Shipper must ensure safe loading and unloading areas. Any unsafe conditions may result in refusal of service or additional fees.
Shipper and Owner-Operator agree to indemnify and hold the Company harmless from claims, lawsuits, fines, or damages arising from:
These Terms & Conditions are governed by the laws of the state in which the Company is headquartered.
The Company may update these Terms & Conditions at any time. Continued use of services constitutes acceptance of updated terms.
