Terms and Conditions

TERMS & CONDITIONS

1. DEFINITIONS

  • “Company” refers to [Your Company Name], its affiliates, agents, and authorized representatives.
  • “Owner-Operator” refers to an independent contractor operating under their own authority or leasing onto the Company’s authority.
  • “Client/Shipper” refers to the party contracting the Company for freight transportation.
  • “Services” refers to all business development, dispatching, logistics, consulting, authority setup, and transportation services provided by the Company.

SECTION A: OWNER-OPERATOR SERVICES

2. INDEPENDENT CONTRACTOR STATUS

The Owner-Operator acknowledges that they are an independent contractor, not an employee of the Company. Nothing in this agreement creates an employer–employee relationship, partnership, or joint venture.

3. SERVICE SCOPE

Services provided to Owner-Operators may include, but are not limited to:

  • Assistance with truck purchase
  • Establishment of MC and DOT authority
  • Hiring support
  • Dispatching services
  • Back-office support
  • Leasing under the Company’s MC
  • Compliance consulting

The Company reserves the right to modify, add, or discontinue services at any time.

4. FEES & PAYMENT

Owner-Operator agrees to pay all applicable service fees, including:

  • Startup or onboarding fees
  • Dispatching percentage or flat-rate fee
  • Leasing fees (if applicable)
  • Fuel charges, tolls, parking, permits, and other operating expenses

Payments must be made in accordance with invoicing terms. Late or non-payment may result in suspension or termination of services.

5. LEASE-ON REQUIREMENTS (IF APPLICABLE)

To operate under the Company’s MC, the Owner-Operator must provide:

  • Valid CDL
  • Active medical card
  • Properly registered and inspected equipment
  • Proof of insurance or enrollment in Company insurance program
  • Compliance with FMCSA and DOT regulations
  • Clean driving record (or meet minimum requirements)

The Company may terminate lease-on privileges at its discretion for violations, safety concerns, or non-payment.

6. SAFETY & COMPLIANCE

Owner-Operator is solely responsible for:

  • Safe operation of their equipment
  • Compliance with all federal, state, and local laws
  • Hours of Service regulations
  • Proper load securement
  • Equipment maintenance

Failure to comply may result in immediate termination.

7. DISPATCHING SERVICES

Owner-Operator authorizes the Company to:

  • Negotiate freight on their behalf
  • Accept loads (with Owner-Operator approval)
  • Communicate with brokers, shippers, and receivers
  • Handle paperwork, rate confirmations, and billing

Owner-Operator must provide accurate updates on location, delays, and delivery status.

8. INSURANCE & LIABILITY

Owner-Operator is responsible for maintaining required coverage including, but not limited to:

  • Liability insurance
  • Cargo insurance
  • Physical damage coverage

The Company is not liable for mechanical breakdowns, accidents, cargo damage caused by the Owner-Operator, or any losses arising from operational decisions.

9. TERMINATION

Either party may terminate services with written notice. The Company may terminate immediately for:

  • Non-payment
  • Safety violations
  • Fraud or misrepresentation
  • Disrespectful behavior toward brokers or staff
  • Repeated service failures

Outstanding invoices remain due after termination.

SECTION B: FREIGHT TRANSPORTATION SERVICES

10. SERVICE AGREEMENT

The Company agrees to transport freight for the Client/Shipper under these terms. Shipment acceptance depends on availability, route, capacity, compliance, and safety conditions.

11. RATES & PAYMENT

Rates are based on the rate confirmation or written agreement. Payment terms are typically Net 30 unless otherwise stated.
Shipper agrees to pay:

  • Freight charges
  • Fuel surcharges
  • Detention or layover fees
  • Accessorial charges
  • Any additional costs caused by late loading/unloading

Unpaid invoices may result in collection actions and additional fees.

12. CARGO HANDLING

The Company will exercise reasonable care in transporting freight. However, the Company is not responsible for:

  • Improperly packaged or loaded freight (when loaded by shipper)
  • Concealed damage
  • Temperature-sensitive products not disclosed in advance
  • Delays caused by weather, road closures, breakdowns, or force majeure events

Shipper must accurately declare freight type, weight, and requirements.

13. LIABILITY LIMITATIONS

Cargo liability is limited in accordance with standard industry regulations unless otherwise agreed in writing.
The Company is not liable for:

  • Consequential or special damages
  • Loss of profit or business interruption
  • Delays beyond the Company’s control

14. ACCESSORIAL CHARGES

Shipper agrees to pay additional charges for:

  • Detention and layover
  • TONU (Truck Ordered Not Used)
  • Re-consignments or redeliveries
  • Lumper fees
  • Driver assist fees
  • After-hours services

15. DELIVERY REQUIREMENTS

Shipper must ensure safe loading and unloading areas. Any unsafe conditions may result in refusal of service or additional fees.

16. INDEMNIFICATION

Shipper and Owner-Operator agree to indemnify and hold the Company harmless from claims, lawsuits, fines, or damages arising from:

  • Incorrect freight information
  • Improper loading
  • Failure to comply with laws or regulations
  • Hazardous material disclosures not provided in advance

17. GOVERNING LAW

These Terms & Conditions are governed by the laws of the state in which the Company is headquartered.

18. AMENDMENTS

The Company may update these Terms & Conditions at any time. Continued use of services constitutes acceptance of updated terms.
